TERM & CONDITION

1. General

The terms specified
below is general terms issued by Matahari Agro (Hereinafter: “we” / “us” / “our”). The terms shall apply to any proposal or
contract issued by us for the sale of goods or other transaction related with
us.

An order of goods shall
not be binding on us unless the purchase order (Hereinafter: “PO”) from buyerand official contract has been signed by us as a form of approval (Hereinafter:“buyer”) (Hereinafter: “order”). PO must meet these general terms and for further agreement will be described in the contract detail..

2. Purchase
   • Customers are importers who already have permission and / or license to import our goods.
   • Customer issues purchase request to us and signs official contract agreement.
   • Customers confirm the availability of goods or products before issuing a contract or PO.
   • Customer is willing to agree to the contract and the general terms and conditions, which we convey in this chapter.
   • Special requests regarding goods or products can be informed to us and will be included in the official contract.
   •  Customers can only make changes or cancel purchases upon our approval.
   • Buyer shall be responsible for obtaining all import licenses, permits, and documentation as necessary for import into Buyer’s country of operation. Any additional costs and delays caused by Buyer’s failure to obtain the necessary documentation prior to shipment are not our responsibility.
    
3. Payment
   • After signing an official contract, customer agree to make minimum advance payment of 50% of the agreed contract value or purchase order.
   • Customer is willing to issue a valid and confirmed “Letter of Credit” to make payment.
   • Payments are made in US Dollar.
   • If customer wants other payment methods aside from those stated in points (b) and (c), it need to be further discussed and specifically described in the official contract.
   • Full payment is made at the latest when the goods are on board of the loading port.
   • If condition (e) is not fulfilled, we reserve the right to physically hold the goods until full payment is made.
    
4. Delivery
   • Our shipments originate from ports / airports in Indonesia.
   • Minimum order is 1 full container (FCL), multiples apply.
   • Our responsibility ends until the goods are aboard the loading port.
   • The ownership status of the goods remains as our property until full payment has been paid and confirmed.
    
5. Goods and Copyrights
   • Our products are products originating from Indonesia.
   • We own the trademark of “MatahariAgro” with Code: MTH
   • It is a copyright infringement for anyone who use our trademarks, code, logo, clips or videos, and images or photos without our permission.
   • Our partners and customers are those who have the right to distribute and trade our products.
    
6. Force Major

Should any delay or interruption in the performance and completion of our obligations occur due to any cause beyond our control, such as war, terrorism, flood, earthquake, fire, government act, interruption of transportation or shipping, riots, rebellion, or other calamity then the specified delivery dates shall be extended to permit us adequate time to fulfill the obligations of the agreement

7. Contract Amendment
   • Contract amendment request can be informed to us, which then we will determine whether or not the contract changes can be made, and whether additional costs are required for the changes.
    
8. Breach of Agreement
   • If there are terms or conditions of the agreement that are violated by the customer or if there are any events that affect the customer’s business and / or ability to pay, which, in our judgment, can cause material and adverse changes, then with regard to the whole or any part of this agreement, we may, without prejudice to any other legal remedy, terminate the agreement.
   • Any dispute due to breach of contract or PO will be carried out through friendly negotiations.
